Welcome to MFJ Biz. These Terms of Service (“Terms”) govern your use of mfjbiz.com and your interactions with MFJ Biz in connection with web consulting, website development, design, optimization, support, and related digital services.

By accessing this website, submitting a consultation request, requesting services, or otherwise interacting with MFJ Biz, you agree to these Terms.

If you enter into a separate written proposal, Statement of Work (“SOW”), service agreement, maintenance agreement, or other contract with MFJ Biz, that agreement will control to the extent it conflicts with these general Terms.

1. About MFJ Biz

MFJ Biz provides professional web-related services that may include:

  • Web consulting and strategy
  • Website design and development
  • WordPress development
  • User experience and interface consulting
  • Website optimization
  • Performance improvements
  • Website maintenance and support
  • Search-engine optimization support
  • Analytics and technical consulting
  • Digital strategy
  • Related technology services

The availability, scope, timeline, and price of any service may vary by project.

2. Consultation Requests

Submitting a consultation form through mfjbiz.com does not create a client relationship, guarantee acceptance of a project, or reserve an appointment.

Any date or time submitted through the website is a preferred consultation time only unless MFJ Biz separately confirms the appointment.

MFJ Biz may accept or decline a prospective engagement at its discretion.

A formal client relationship begins only when the parties agree to proceed under an applicable proposal, SOW, contract, written authorization, or other mutually accepted arrangement.

3. Project Proposals and Statements of Work

Specific projects may be governed by a written proposal, estimate, SOW, or other project agreement.

Such documents may establish:

  • Project scope
  • Deliverables
  • Pricing
  • Deposits
  • Payment schedules
  • Milestones
  • Revision limits
  • Launch dates
  • Maintenance obligations
  • Hosting responsibilities
  • Intellectual-property rights
  • Cancellation terms
  • Support periods
  • Additional work rates
  • Other project-specific requirements

Project-specific terms supersede these Terms when they directly conflict.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary to perform the agreed services.

Depending on the project, this may include:

  • Written content
  • Images and media
  • Branding materials
  • Domain credentials
  • Hosting credentials
  • API credentials
  • Third-party service access
  • Product information
  • Legal policies
  • Required approvals
  • Feedback
  • Other materials reasonably necessary to complete the project

Delays in providing required materials, approvals, access, or feedback may affect project schedules. MFJ Biz is not responsible for delays caused by missing or late client materials.

5. Accuracy of Client Materials

You represent that materials supplied to MFJ Biz may legally be used for your project.

You are responsible for obtaining necessary rights, permissions, licenses, and authorizations for content you provide, including photographs, video, text, trademarks, logos, fonts, software, datasets, and other intellectual property.

MFJ Biz is not responsible for copyright, trademark, privacy, publicity, licensing, or other claims resulting from materials supplied or specifically requested by a client.

6. Fees and Payment

Project fees, payment schedules, deposits, retainers, recurring charges, and other financial terms will be established in the applicable proposal, invoice, SOW, or service agreement.

MFJ Biz may pause work or withhold delivery, launch, support, credentials, files, or other deliverables when an account becomes overdue, subject to any applicable written agreement.

Unless otherwise stated in writing, additional work outside the agreed scope may require additional fees.

7. Scope Changes

Requests outside the agreed project scope may be treated as additional work. Examples can include:

  • New pages
  • New functionality
  • Additional design concepts
  • Additional revisions
  • Custom integrations
  • Data migration
  • Extensive content entry
  • Additional troubleshooting
  • New third-party services
  • Work caused by third-party changes
  • Work requested after project completion

MFJ Biz may provide a revised estimate or separate proposal before performing substantial out-of-scope work.

8. Intellectual Property

Intellectual-property ownership for client projects will be determined by the applicable project agreement.

Unless otherwise agreed in writing, MFJ Biz retains ownership of its pre-existing intellectual property, including proprietary tools, development methods, reusable code, frameworks, systems, processes, libraries, templates, know-how, and other materials developed independently of a specific client project.

Where a project agreement provides for ownership transfer of custom deliverables, that transfer may be conditioned upon payment of all amounts due.

Third-party software, WordPress, plugins, themes, fonts, libraries, APIs, stock assets, open-source software, and other third-party components remain subject to their respective licenses and ownership terms. Nothing in a client engagement transfers ownership of third-party intellectual property beyond the rights granted by its applicable license.

9. Portfolio and Promotional Use

Unless otherwise agreed in writing, MFJ Biz may identify completed work in its portfolio, case studies, proposals, presentations, social media, or other promotional materials.

Confidential information will not intentionally be disclosed through such use. Clients requiring confidentiality or restrictions on portfolio use should arrange those requirements in writing.

10. Third-Party Products and Services

Web projects frequently rely on third-party services, including:

  • WordPress
  • Web hosting
  • Domain registrars
  • Cloud infrastructure
  • Payment processors
  • Email providers
  • Analytics platforms
  • APIs
  • Plugins
  • External software
  • Social networks
  • Content delivery networks
  • Security services
  • Search engines

MFJ Biz does not control third-party services and cannot guarantee their continued availability, security, pricing, compatibility, policies, uptime, or performance.

A third party may modify or discontinue its service at any time. Work required because of a third-party change may fall outside an original project scope.

11. Hosting, Domains, and Infrastructure

Unless expressly included in a written agreement, clients remain responsible for maintaining their domain registrations, hosting accounts, subscription services, licenses, renewal fees, email systems, and other third-party infrastructure.

MFJ Biz is not responsible for losses caused by expiration, suspension, cancellation, compromise, outage, or modification of third-party accounts outside MFJ Biz’s reasonable control.

12. Website Backups

Clients should maintain appropriate backups of production websites and business data unless backup management is expressly included in an MFJ Biz service agreement.

No backup system can be guaranteed to prevent every possible form of data loss.

13. Website Security

MFJ Biz may implement reasonable security measures as part of a project or maintenance service. However, no website, server, network, application, or digital system can be guaranteed to be completely secure.

MFJ Biz does not guarantee that a website will never experience hacking, malware, unauthorized access, denial-of-service activity, vulnerabilities, software defects, or other security events.

Clients remain responsible for following reasonable security practices and maintaining services, software, passwords, licenses, and infrastructure after delivery unless ongoing management is included in an agreement.

14. Search Engine Optimization

MFJ Biz may provide technical SEO, content recommendations, structured data, performance optimization, or other search-related services. Search engines are controlled by third parties.

MFJ Biz does not guarantee:

  • Search rankings
  • Indexing
  • Traffic levels
  • Featured snippets
  • Search visibility
  • Conversion rates
  • Specific keyword positions
  • Inclusion in search results

Search-engine algorithms, policies, competitive conditions, and indexing decisions may change without notice.

15. Website Performance

MFJ Biz may optimize websites for speed, responsiveness, accessibility, user experience, or Core Web Vitals.

Actual performance may vary based on hosting, traffic, advertising, analytics, third-party scripts, user devices, network conditions, plugins, external services, content, and changes made after delivery.

Unless specifically guaranteed in writing, performance metrics are targets rather than warranties.

16. Accessibility and Legal Compliance

MFJ Biz may implement accessibility-conscious design and development practices.

Unless specifically included in a written engagement, MFJ Biz does not provide legal advice or certify that a website complies with every accessibility, privacy, consumer-protection, industry-specific, or other legal requirement.

Clients are responsible for determining which laws and regulations apply to their business and obtaining appropriate professional advice when necessary.

17. Client Content and Legal Policies

Clients are responsible for the accuracy and legality of their business content and policies. This may include:

  • Privacy policies
  • Terms and conditions
  • Refund policies
  • Disclaimers
  • Cookie notices
  • Accessibility statements
  • Product claims
  • Regulatory disclosures
  • Industry-specific notices

MFJ Biz may assist with implementation or provide general templates, but such assistance is not a substitute for advice from a qualified attorney.

18. No Guarantee of Business Results

Websites, technology, design, SEO, marketing support, optimization, and consulting may improve opportunities for a business, but business outcomes depend on many factors beyond MFJ Biz’s control.

MFJ Biz does not guarantee any particular:

  • Revenue
  • Profit
  • Traffic
  • Number of customers
  • Number of leads
  • Conversion rate
  • Search ranking
  • Investment return
  • Business growth

19. Maintenance and Support

Ongoing maintenance, monitoring, updates, troubleshooting, content changes, backups, security services, and technical support are provided only when included in an applicable service agreement or support arrangement.

Completion of a development project does not automatically create an unlimited or perpetual support obligation.

20. Website Availability

MFJ Biz may modify, update, suspend, or discontinue portions of mfjbiz.com at any time.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or continuously available.

MFJ Biz may restrict or block abusive activity.

22. No Professional Advice

Information published on mfjbiz.com is provided for general informational purposes.

Unless expressly stated in a separate professional engagement, website content does not constitute legal, accounting, financial, tax, investment, regulatory, or other licensed professional advice.

23. Disclaimer of Warranties

To the maximum extent permitted by law, mfjbiz.com and its general website content are provided on an “as is” and “as available” basis.

MFJ Biz makes no warranty that the public website will be uninterrupted, error-free, completely secure, or suitable for every particular purpose.

Any warranties applicable to paid client services will be governed by the applicable project agreement.

24. Limitation of Liability

To the fullest extent permitted by applicable law, MFJ Biz will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of this website.

For paid professional services, any additional limitation of liability will be governed by the applicable proposal, SOW, service agreement, or other client contract.

Nothing in these Terms excludes liability that cannot legally be excluded.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless MFJ Biz from claims arising from materials you provide, unlawful use of the website, violation of these Terms, or infringement of third-party rights caused by content or instructions supplied by you.

Project-specific indemnification obligations may be established separately in a client agreement.

26. Termination of Services

Either party may terminate a professional engagement as permitted by the applicable proposal, SOW, contract, or written agreement.

Amounts earned, work performed, approved expenses, third-party commitments, cancellation charges, ownership rights, and delivery obligations following termination will be determined by that agreement.

27. Force Majeure

MFJ Biz will not be responsible for delays or failures caused by circumstances reasonably beyond its control, including natural disasters, widespread network outages, governmental actions, war, civil unrest, labor disruptions, utility failures, cyberattacks, hosting outages, third-party platform failures, or similar events.

28. Governing Terms for Client Agreements

A signed or otherwise mutually accepted project agreement may contain its own governing law, venue, dispute resolution, arbitration, mediation, or other legal provisions. Those provisions will control for that engagement.

Where no separate agreement governs a dispute concerning these Terms, applicable law and the rules of a court with lawful jurisdiction over the parties will apply.

29. Severability

If any portion of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

30. No Waiver

Failure by MFJ Biz to enforce a provision of these Terms does not waive the right to enforce that provision later.

31. Changes to These Terms

MFJ Biz may update these Terms as its services, technology, or legal obligations evolve. The revised version will be posted on mfjbiz.com with an updated “Last Updated” date.

Continued use of the website after a revision constitutes acceptance of the updated Terms to the extent permitted by law.

Changes to an existing signed client agreement will not be made merely by updating these website Terms unless that agreement expressly provides otherwise.
